Nagar (Mohali), Punjab. SCL intends to engage vendor for subject item conforming to the details specifications attached as PART ‘A’ to this RFP. Also attached herewith are PART-B Bill of Quantity for subject and Commercial Price Format. PART ‘C’ detailing General Instructions, PART ‘D’ giving SCL’s proposed Commercial and other Terms & Conditions, , PART ‘E’ giving draft of Performance Bank Guarantee and PART ‘F’ giving Proforma of statement of compliance to be provided by the bidder alongwith the bid (Part-1 Technical Bid). PART-A

Semi-Conductor Laboratory

S.A.S. Nagar – 160071

Specification for Retro fitt ing of Electro- Mechanical Relays with Numerical Relays in 66KV/11 KV substation at SCL 1. Purpose / Description :

The electrical scheme at SCL comprises of one incoming feeder of 66KV from Punjab State Power Corporation Ltd (PSPCL) is feeding SCL. The Current transformers of 0.5 class accuracy are installed for metering and protection of the incoming bay. The incoming bay has been brought onto 66KV bus and 2nos 66/11KV 8MVA Transformers with OLTC (Areva make) are installed. The 11KV bus has 2 incomer feedesr, 1 bus coupler and 5 outgoing feeders. The 5 outgoing feeders are feeding 3 nos 11KV/415 substations equipped with 3 nos 1750 KVA oil cooled transformers, 2nos 1750 KVA dry transformers and 1 no 1750 KVA dry transformer&1500 KVA oil cooled transformers.(SLD is attached for reference).

The technical scope of the project includes to retro-fit Intelligent Electronic Device (IED) replacing existing Electromechanical Relays to provide fast and selective protection, monitoring and control for 66/ 11 KV transformers and feeders at SCL 66/11KV substation at SCL S. A. S. Nagar.

2. Scope of Work:

• Conduct site visit to SCL and collect necessary data required for executing the work.

• The retro-fit job shall include Dismantling of existing Relays from the Panel, Supply of Numerical Relays, supply, installation of New Relays in Existing Panel along with changing Panel Doors , all Hardware i.e. case, 110V auxiliary power supply modules, I/O modules, binary input/output modules, GPS time synchronization module, Wires(1.5/2.5sqmm) Special Lugs, Thimbles, Ferrule ,any other item/material required for achieving the intent of specifications, rewiring with 1.5 and 2.5 sqmm wire for Control/Aux Supply

• Demonstrating the performance after the relay retrofitting. The demonstration shall include tripping of breaker with an injection of adequate current on individual levels of power distribution.

• Training of SCL personnel at site on Numerical Relay operat ion and maintenance, Submission of as built wiring Diagram including manuals/catalogue of the IEDs.

• In view of the need for maintaining continuity of power supply to the various facil i t ies at SCL, minimal Shutdown shall be permitted within which the vendor has to complete the job.

• The drawings shall be prepared and submitted for approval for the proposed scheme.

• Any other item required to be executed to compete the work as per the detailed technical specif icat ions.

Detailed technical specifications

• All relay shall be mult ifunct ional numerical relay with communication capabil i t ies and sequence of event/disturbance recorder for downloading on serial communication to PC/HMI.

• The Numerical relay configuration should have the provision of communication port for implementation of SCADA in future by HMI interfaces to integrate the whole of the electrical installation in one single unit/system.

• The Digital Protective Relay shall be programmable and configurable with appropriate user-friendly setting software using a MS Windows program running on a standard PC. The programming and configuration shall be carried out locally (front access) through a RS 232 port

• The hardware and software architecture shall be modular and dis-connectable to adapt the protect ion and control unit to the required level of complexity. The architecture shall al low future extensions by simple and easy hardware and f irmware upgrading of the protect ion and control unit and shall be designed to enable upward compatibil i ty between Digital Protect ive Relay of dif ferent generat ions of the manufacturer.

• The architecture shall provide easy cost eff icient maintenance operat ions when changing modules.

• The Digital Protective Relay shall provide Network diagnosis, Machine diagnosis, and switchgear diagnosis facilities for process management and maintenance purpose.

The required features of the specif ications are as under:

1. Fully IEC 61850 compliant 2. Protect ion, monitoring and control integrated in one IED. 3. Extensive self -supervision including analog channels. 4. The relay shall have a minimum of two sett ing groups. 5. Signal matrix for easy conf igurat ion of binary and analog signals. 6. Ethernet interface for fast and easy communication with PC/SCADA compatible. 7. User management and authority handling, Protect ion and Control IED Manager. 8. Mult i-object capabil i ty for handling. 9. Pre-conf igured and type tested solut ions including default sett ings for

a) Two winding transformer in single breaker arrangements b) Back-up protect ion for transformers Digital Protective Relay general and practical operating requirements

1. The circuit breaker control output relay contact shall be capable of withstanding a 30A DC current for 0.2seconds and 2000 operat ing cycles according to ANSI C37.90-clause 6.7.

2. Other logic output relay contacts shall be capable of withstanding at least 2A steady state current. The relay shall have at least 10 output contacts.

3. Current carrying terminal f rom current sensors shall be automatically short circuited when withdrawing current sensor modules.

4. Provisions shall be made in the switch gear cubicle for test ing and calibrat ing the relay by current in ject ion using an external source, without disconnecting the permanent wiring.

5. CT/VT and Trip coil supervision facil i t ies shall be provided to check the wiring circuit continuity with relevant alarms and messages.

6. The Digital Protect ive Relay shall be continuously rated and shall maintain the sett ing accuracy without sett ing drif t over t ime and full range of auxil iary voltage variat ions

7. The current circuit of the protect ion relay shall be capable of handling a current of 10 In for 1 sec and 4In continuously.

8. Any component substitut ion because of component obsolescence shall not affect the upward compatibil i ty between relays on duty.

2 . INSTALLATION AND COMMISSIONING: System to be installed and commissioned at SCL premises by the vendor. Vendor shall supply guidelines for preparation of installation site and list of items to be supplied during installation by SCL. In view of the need for maintaining continuity of power supply to the various facilities at SCL, minimal shutdown shall be permitted within which the vendor has to complete the job.

3 . CALIBRATION: Guidelines to be provided regarding calibration procedure, frequency etc. along with a list of tools required for calibration. .

4 . ACCEPTANCE: Pre-sh ipm ent inspect ion m ay be done at v endor ’ s premises at SCL opt ion; howev er, f inal acceptance would be done at SCL upon instal la t ion and demonstrat ing the recomm endat ions af ter the relay ret ro f i tt ing.

5 . TRAINING: Vendor to provide training to SCL engineers on system operation, maintenance, application software, and related applications for an appropriate period. The training should be extensive enough so that quick diagnostics of problems and remedial actions is possible at SCL.

6.2 GUARANTEE AND REPLACEMENT: The v endor shal l guarantee that the system suppl ied com ply f ul ly wi th the spec i f icat ions laid down for m ater ial , workm anship and perform ance.

6.3 For a per iod of 24 months af ter acceptance of the system at SCL, i f any defec t(s) discov ered therei n are found to hav e dev eloped under proper use ar i sing f rom fau l ty mater ials, design or workm anship, v endor shal l remedy such defec t(s) a t his own cost prov ided he is ca l led upon to do so wi th in a per iod of 26 m onths f rom the date of acceptance thereof by the purchaser who shal l sta te in wr i t ing in what respect the system or any part thereof are fau l ty.

6.4 Should the v endor f a i l to rect if y the defec ts, the purchase r shal l hav e the ri ght to reject or repai r or rep lace at the cost of the v endor the whole or any port ion of the defec t iv e sy stem.

6.5 The decision of the Purchaser, notwi thstanding any pr ior approv al or acceptance or inspect ion thereof on behal f of the Vendor, regarding defec t iv e parts where in the defec t has dev eloped wi th in the sa id per iod of 14 m onths as to whether the nature of the defec ts requi res repai r or replacement shal l be f inal , conc lusiv e and binding on the vendor.

6.6 Warranty Replacements:

If i n the opin ion of the purchaser i t becomes necessary t o replace or repai r defect iv e system , such replacement or repai r shal l be m ade by the v endor f ree of a l l costs to the Purchaser prov ided the not ice informing the v endor of the defect i s g iv en by the Purchaser wi thi n a per iod of 26 months f rom the date of acceptance thereof . Al l rep lacem ent parts shal l be suppl ied by the Vendor, f ree-of -cost on FOR SCL, S.A.S. Nagar, basis. Al l defec t ive parts shal l be returned by SCL to t he Vendor, i f requested, on ‘Freight to pay ’ basi s.

7. UPTIME: Vendor to guarantee 98% uptime for the equipment based on 24 hours working, 7 days a week. .

Indian agent’ s remunerat ion /service charge sha ll be payable after deduct ion of TDS by the Purchaser direct ly to the Indian agent in Indian Rupees based on T.T buying rate of exchange preva il ing on the date of placement of Purchase order within 30 days of acceptance of the total project at the Purchaser’s s ite. Al l bank charges outside India shal l be borne by the contractor and al l bank charges in India shal l be borne by the Purchaser. Al l LC extension charges beyond the agreed upon delivery period or the amendments to be made in the LC for reasons attr ibutable to the contractor shall be to contractor’s account. The charges for installat ion, commission ing and tra ining shall be paid af ter deduct ion of income tax a t source as per Indian Income Tax Act, 1961. 11. TECHNICAL DOCUMENTATION: Vendor to supply four sets of technical documentation containing, but not limited to, the following:

a) System user manuals b) System Hardware / Software manuals c ) Maintenance /Diagnostic / Trouble shooting manuals including

schematics, Circuit diagram (Electrical & Plumbing) along with Part # for all spares..

12. SUPPLY OF SPARES AND SERVICES: The v endor shal l guarantee supply o f spares and serv ices for a per iod of 7 years af ter the ex pi ry of warranty per iod.

13. TAXES & DUTIES: Al l Li censes/Gov ernment clearances, i f any, requi red for the System shal l be the responsib i l i ty of the v endor. Tax es and dut ies payable for supply o f the subjec t System under Ind ian law and in Ind ia on ly shal l be the responsib i l i ty of the Purchaser. Vendor shal l clear ly ind icate the rate of CST / VAT or any other Gov t Lav ies

14. NEW M ACHINE CERTIFICATE: The v endor shal l subm i t a certi f icate a longwi th the system as wel l as wi th the docum ents f or cla iming payment ind icat ing the date of m anufacture and cert i f ying that the sy stem suppl ied is a brand new system and not a refurb ished/ remanufactured/ recondi t ioned system .

15. VALIDITY : The v endor ’s proposal must be v alid f or 90 days f rom the closing date of subm ission of proposal s.

16. INSPECTION AND ACCEPTANCE TESTS: a) The purchaser ’s representat iv es shal l be en t i t led at al l

reasonable t imes dur ing the m anufacture to inspect , examine and test on the Vendor ’s premises the mater ial and workm anship of a l l System to be suppl ied under th is Contract and i f part of the said System is be ing m anufactured on other prem ises, the Vendor shal l obtai n f or the Purchaser ’s representat iv e permission to inspect , examine, and test as i f the System were be ing m anufactured on the Vendor ’s premises. Such inspect ion, ex am inat ion and test i ng shal l not re lease the v endor f rom the ob l igations under thi s contrac t .

b) For test s on the prem ises of the Vendor or any of his

sub-v endors, the v endor shal l prov ide f ree of cost assi stance, labour, m ater ials, e lec t r ici ty , f uel and inst ruments as m ay be requi red or as m ay be reasonably needed by the Purchaser ’s representat iv e to carry out the tests ef f ic iently.

c) W hen the System hav e passed the spec i f ied test , the

Purchaser ’s representat iv e shal l f urn ish a cert i f icate to th is ef f ect in wr i t ing to the Vendor. The Vendor shal l prov ide copies of the test cert i f icates to the Purchase r as m ay be requi red.

19. REPLACEMENTS: If the System or any port ion thereof is dam aged or l ost dur ing t ransi t , the purchaser shal l g iv e not ice to the v endor set t ing for th part icu lars o f such Sy stem dam aged or lost dur ing t ransi t . The replacement of suc h System shal l be ef fec ted by the v endor wi th in a reasonable t im e to av oid unnec essary delay in the intended usage of these System. The pr ice of replacement i tem s shal l be paid by the purchaser on the basi s of pr ice indi cated in the PO. The cost of damages wi l l howev er be c laimed by the purchaser f rom the i nsurance com pany.

20. REJECTION: In the ev ent that any of the Sy stem suppl ied by the Vendor is f ound defec t iv e in m ater ial or workm anship or otherwi se not i n conformi ty wi th the requi rem ents o f the contrac t speci f icat ions, the purchaser shal l ei ther rej ec t the System or request the v endor, in wr i t ing, to rect if y the sam e. The Vendor on receipt o f suc h not i f ication shal l ei ther rec t i f y or replace the defect ive System , f ree of cost , to the purchaser. I f the v endor f ai ls to do so, the purchaser m ay at hi s opt ion ei t her: a) Replace or rec t i f y such defec t ive System and recov er

the ex tra cost so inv olv ed f rom the v endor, or b) Terminate the contract f or defau l t as prov ided under

clause 21.

21. Contractor’s Default Liability : The Purchaser may upon writ ten not ice of default to the Contractor terminate the contract in whole or in part in c ircumstances detailed hereunder: a) If in the judgment of the Purchaser, the Contractor

fails to make del ivery/ Installa t ion/commissioning of s tores within the t ime specif ied in the contract agreement or within the period of wh ich extension has been granted by the Purchaser to the Contractor.

b) If in the judgment of the Purchaser, the contractor

fails to comply with any of the other provisions o f this contract.

c) In the event the Purchaser terminates the contract

in whole or in part , the purchaser reserves the righ t to purchase/ instal l/commission on such te rms and in a manner as he may deem appropriate stores s imila r to that terminated and the contractor shall be l iable to the purchaser for any add it iona l costs for such similar s tores and or for l iqu idated damages for delay as def ined in Clause no. 23 un t i l such reasonable t ime as may be requ ired for

the f inal supply/ installat ion/ commissioning of s tores.

d) In the event the purchaser terminates the Contract,

the purchaser in addit ion to any other r ights provided in this art icle , may require the contractor to transfer t i t le and deliver to the purchaser under any of the following cases in the manner and as di rected by the purchaser.

i) Any completed stores

i i) Such part ially completed stores, drawing information and contract r ight (herein af te r called manufacturing materia l) as the Contractor has specif ically produced or acquired for the contract as terminated. The purchaser shall pay to the Contractor the contract price fo r completed stores delivered to and accepted by the purchaser and for manufacturing materials delivered and accepted.

e) In the event the purchaser does not terminate

the contract, the Contractor, shal l cont inue the performance of the contract, in which case he shal l be l iable to the purchaser for l iqu idated damages for delay as set out in Clause no. 23 unt i l the stores are accepted.

22. FORCE MAJEURE:

Nei ther of the part ies hereto shal l be l iab le f or damage or hav e the r ight to cancel f or any de lay or defaul t in performing i t ’s obl igat ions if such delay or defaul ts are caused by condi t ions beyond i t ’s control inc luding but not l im i ted to f i re, storm , f loods, earthquak es, ac ts o f God, gov ernm ent rest r ict ions, cont inu ing dom est ic or internat ional problem s (such as wars, rebel l ion, insurrec t ions, st r ikes, r io ts, work stoppages, Labour dispute ) or de lay as to anc i l lary mater ia ls, which af fec t the dates of f ul f i l lm ent of any obl i gat ions as pe r the purchase order. Such dates wi l l be respect iv ely postponed for the per iod of cont inuanc e of suc h force majeure ci rcum stances and the other party can suspend the performance of i ts obl igat i ons c orrela ted to the postponed ob l igat ion of the af fec ted party . The obl igat ion thus postponed shal l be resumed af ter the force m ajeure c i rcumstances hav e ceased. At the beginn ing, dur ing and at the pre -v isib le end of the force majeure c i rcumstances the part ies shal l prom pt ly consul t wi th each other about appropr iate counter m easures to be taken. If the perform ance of obl igat ions of any party should be delayed m ore than six (06) months by reasons of f orce majeure c i rcum stances ment ioned abov e, the part i es shal l mutual ly consul t about the subsequent perform ance of obl igati ons.

23. DELAY IN COMPLETION/LIQUIDATED DAMAGES: If the v endor f ai ls to com plete the suppl y o f the System wi thin the del iv ery per iod spec i f ied in t he contrac t or any

extension thereof , the purchaser shal l recov er f rom the vendor as l iquidated damages a sum of one-hal f of one percent (0.5 percent) o f the contrac t pr ice of the uncom pleted supply f or each calendar week of delay. The total l iqu idated dam ages shal l not exceed 10 percent of the total Contract pr ice.

24. PACKING: The v endor wi l l ensure that each i tem’ is packed i n such a way as wi l l prev ent i t f rom get ti ng damaged dur ing t ransportat ion to Sem i-Conductor Laboratory , S A S Nagar (Mohal i ) . Further the vendor wi l l also speci f y storage condi t i ons dur ing park ing awai t ing i nstal la t ion.

25. Arbi t rat ion: I f at any t ime any quest ion, dispu te or dif f erence whatsoev er shal l ar ise between the Purchaser and the Contractor upon or in connect i on wi th the contrac t , ei ther party m ay for thwi th giv e to the other not ice in wr i t ing of the ex istence of such quest ion, di spute or dif f erence and the sam e shal l be referred to the adjudicat ion of three arbi t ra tors, one to be nominated by the Purchaser, one to Sem i-Conductor Laboratory W eb Docum ent 12 be nom inated by the Contrac tor and these two arbi t ra tors shal l appoint the th i rd arb i t rator who shal l ac t as the presiding arbi t rator . If the two arbi t ra tors f a i l to agree on the appointment of the thi rd arb i t rator wi thi n 30 day s f rom thei r appointment , then the procedure as laid down in the ‘Arbi t ra t ion and Conci l i ation ac t 1996’ shal l be appl i cable. The proceedings of arbi t rat ion shal l be carr ied out in accordance wi th ‘Arbi t rat ion and Conci l iat ion Act 1996’ . The expenses of the arbi t rators shal l be pa id as m ay be determined by them . The v enue of arbi t ra t ion shal l be S.A.S. Nagar (Mohal i ) , Punjab.

26. COUNTER TERMS AND CONDTIONS OF SUPPLIERS: Where counter terms and condi t ions pr inted or cyclosty led condi t i ons hav e been of fered by the supp l ier, the same shal l not be deemed to hav e been accepted by the purchaser unless speci f ic wr i t ten acceptance thereof is obta ined.

27. APPLICABLE LAW: The Contrac t shal l be in terpreted, construed, and gov erned by the l aws of Ind ia. The contrac t shal l be subject to ex cl usiv e jurisdic t ion of the court a t S.A.S. Nagar (Mohal i ) , Punjab, India i r respect iv e of anything ment ioned in any c orrespondence or otherwi se. .

28. ACCEPTANCE: Pre-shipment inspect ion may be done at vendor’s premises at SCL opt ion; however, f inal acceptance would be done at SCL upon installat ion and demonstrat ing the recommendations af ter the relay retrof it t ing.

29. CANCELLATION OF PURCHASE ORDER: In the ev ent of Vendor ’s f ai lure to execute the Contrac t as per term s and condi t ions m ent i oned the re in, SCL reserv es the r ight to claim compensat ion for the loss suf fered by SCL on account of Vendor ’s f a i lure to ex ecute the Contrac t and such com pensat ion shal l be work ed out on m utual ly

c) not pay ing the scheduled PM v i si ts as requi red by the Contract dur ing the warranty per iod.

d) does not ship essent i al spares leading to breakdown of the System cov ered by the cont ract f or more than one month.

e) the BANK shal l imm ediatel y pay to OW NER on dem and such sum or sums of m oney to the ex tent of Rs. ….. be ing 15% (f i f teen percent)of the v alue of the said Contract on acc ount of losses and dam ages suf fered by the OW NER as may be c la im ed by the OWNER by reason of such non -observ ance and non-fulf i lment by VENDOR as aforesaid and shal l also indemnif y the OWNER against a l l costs, charges, expenses which m ay be incurred by OW NER in connect ion herewi th. other indulgence to or com pound wi th the VENDOR or enter in to any agreement or agree to f orbear to enforce any of the term s and condi t i ons of the said Contract against VENDOR o r agree to v ary any of the term s and condi t ions of the sa id Contrac t .

4. Thi s guarantee shal l not be af fec ted by any change in the const i tut ion of the OW NER by

5. Al l com pensat ion and paym ents receiv ed by the OW NER f rom or on behal f of the VENDOR

shal l be regarded as paym ents in gross and in the ev ent of Contrac t being terminated by the v endor f or reasons at t r ibutab le to the vendor, OW NER wi l l be ent i t led to proceed against the propert ies of the VENDOR in respect of the whole of VENDOR’S i ndebtedness to the OW NER under thi s guarantee wi thout any r ight on the part o f the BANK to stand i n OWNER’S pl ace in respect of or to cla im the benef i ts of such compensat ion and paym ent or any sec ur i ty he ld by the OW NER unt i l the OWNER shal l hav e received the ful l am ount of the cla im against VENDOR.

6. Thi s Guarantee shal l cont inue to be in f orce notwi thstanding the di scharge of M/s
