TERMS CONDITIONS

(i) The service shall be deemed o have commenced with effect rom he date of activation of he DEN STB(s)/VC(s).

(ii) The Subscriber shall ensure that DEN’s authorized personnel are granted safe and ready access, at all reasonable hours, to the Installation Address for

installation purpose. The Subscriber understands that the installation entails drilling, cabling and other works at the Installation Address and the Subscriber

hereby grants ull iberty o DEN’s authorized personnel o undertake such activities as are necessary or successful nstallation.

(iii) The Subscriber shall ensure that the nformation stated n the Subscriber Hardware Registration Form shall continue to be complete and accurate n all material

respects during he entire period of provision of service by DEN and he Subscriber shall notify DEN mmediately of any change hereto.

(iv) The Subscriber shall ensure hat he DEN STB(s)/VC(s) s/are used as per he nstructions stated n DEN STB/VC manual. The VC(s) shall at all i mes remain he sole

and exclusive property of DEN and shall need to be returned by the Subscriber to DEN upon disconnection of service to the Subscriber. The Subscriber shall use the

any hird party and/or uninstall and reinstall he DEN STB(s) at any other address.

(v) The Subscriber undertakes that he/she shall neither by himself nor allow any other person to modify, misuse or tamper with the DEN STB(s)/VC(s) or to add or

remove any seal, brand, ogo, nformation, etc., which affects or may affect the ntegrity/ functionality/ dentity of the DEN STB(s)/VC(s) or otherwise remove or

replace any part hereof; nor shall use before or after he DEN STB(s)/VC(s) any decoding, receiving, recording device other han one elevision set.

(vi) If he service o he Subscriber have been discontinued on his request, no charge other han he charges or DEN STB(s), as applicable, shall be payable by he Subscriber.

(vii) If he service o he Subscriber have been discontinued by DEN, no charges or he period or which he service was discontinued, ncluding charges of DEN STB,

as applicable, shall be payable by he Subscriber.

(viii) On a request being made for discontinuation of service by the Subscriber, DEN shall suspend the service to the subscriber, provided that DEN may not

discontinue the service if requested period of discontinuation is for a period lesser than a calendar month. Additionally, DEN shall suspend the service to the

subscriber, at his request, f such request or suspension s or a period of a calendar month or multiple of calendar months but not exceeding 3 calendar months.

(ix) No charge for the service, other than the rent for STB, f applicable, shall be evied on the Subscriber for the period during which the services were discontinued at

the request of he Subscriber.

(x) Disconnection of he service by he Subscriber can be only upon he Subscriber providing DEN with 15 days prior written notice n such regard.

(xi) The subscriber can opt or any of he schemes as per erms stated n he ariff package ramed by he DEN rom ime o ime.

(xii) Changes n he rates of axes & Govt duties will be nformed o subscribers and passed on.

(xiii) Any delayed payment shall be charged with nterest @ 18% per annum or on prevailing market nterest whichever s higher.

(xiv) If subscriber migrates rom existing DEN Network o any other DEN’s network where digital services are available hen no migration ee will be charged.

(xv) In case of any complaint, LCO/MSO will respond o he complaint within 8 hours of receipt of complaint. However his will not apply f he STB has been ound ampered with.

(xvi) A copy of DEN’s Manual of Practice’ shall be provided by DEN to the Subscriber at the time of his subscription for service. Such Manual of Practice’ will contain,

inter alia, procedures and time imits for redressal of complaints, name, designation of the Nodal Officer’ and email, contact telephone number, facsimile number

(c) The Subscriber acknowledges that DEN STB taken on rent shall remain exclusive property of DEN and shall be owned by DEN and the Subscriber

undertakes o protect and guard such DEN STB.

(d) For any kind of damage o he DEN STB aken on rent, he Subscriber shall pay he damaged cost ncurred by DEN or repairing he same.

(e) The subscriber shall ully comply with all applicable aws.

(f) The subscriber shall neither by himself nor allow any other person to modify, misuse or tamper with the Hardware or to add or remove any seal, brand, ogo,

information etc. which affects or may affect he ntegrity/ functionality/ dentity of the Hardware or otherwise remove or replace any part thereof; nor shall use

before or after he STB any decoding, receiving, recording device other han one elevision set.

(g) The subscriber undertakes not to hypothecate, transfer or create or suffer any charge, lien or any onerous liability in respect of the Hardware which is not

owned by he Subscriber.

(h) The subscriber undertakes not o relay, ransmit or redistribute he signals/Service o any Person or connect o any other device or any redistributio n purpose.

(xxii) DEN shall not be iable to the Subscriber for any damage to property or person that may take place during or n connection with the Installation. DEN shall not be

liable to the Subscriber for any acts or omissions on the Subscriber’s part. DEN s not responsible (a) for any consequential or ndirect damage or oss n relation

to the service (b) f the service s suspended due to force majeure event. DEN shall not be iable to the Subscriber for any bona fide action, ncluding suspension

and/or deactivation, taken by DEN to protect the intellectual property rights of any third party and/or to check other unlawful activities in relation to the service,

even if such action is based on information (whether generated by DEN or provided to DEN by any third party) which may later prove to be i ncorrect. DEN will

endeavor at all times to maintain an adequate and reasonable quality of the service. It s agreed and understood by the Subscriber that the availability and quality

of service may be affected by factors outside DEN’s control such as physical obstructions, geographic weather conditions and other causes of

electronic/electrical interference or faults in other telecommunication networks or availability of poles to which DEN’s network is connected or on which DEN’s

network s built-up and DEN shall not be iable for any consequences arising thereof ncluding but not imited to damage to the Subscriber’s television or devices

of any type connected to it or any other property. Also, DEN makes no representation or warranties as to the continuity or availability or quality of the service.

DEN’s sole obligation and the Subscriber’s sole and exclusive remedy in the event of interruption of services by any of the means mentioned in this Terms &

Conditions shall be o use all reasonable endeavors o restore he services as soon as reasonably possible.

(xxiii) The Subscriber shall hold DEN, its affiliates, contractors, distributors and the respective officers, employees and agents completely harmless and indemnified

from and against any oss, claim, damage, iability or expense (including reasonable attorneys fees and other dispute resolution costs) to which DEN and/or ts

affiliates, contractors, distributors and he respective officers, employees and agents may become subject o under any applicable aws, or under any claim made

by any hird party, or otherwise, o he extent hey relate o or arise out of he provision of he service by DEN o he Subscriber.

(xxiv) The Subscriber shall not assign any rights or obligations under these Terms and Conditions to any other party without the prior written consent of DEN. However,

(xxv) All notices given hereunder shall be given in writing, by personal delivery, courier or speed post, at the address of DEN and the Subscriber set forth in the

Subscriber Hardware Registration Form

Notes: 1.  The package price is per set top box per month. All applicable taxes extra.2. Add-On Packs can only be subscribed in addition to DEN Intro Pack, DEN Family Pack or DEN Platinum Pack. 3.  Billing to start from the

date of activation of set top box. 4.  Minimum monthly subscription for pay package and Add-On packs cannot be less than Rs 150 (excluding taxes). 5.  Channels offered are subject to change from time to time. 6.  Minimum

subscription period is three (3) months. 7.  Terms & conditions specified in Package Authorization Form (PAF) & Subscriber Hardware Form/Customer Activation Form (CAF) are applicable herewith. 8. FTA - Free to Air

Channels. 9. Separate set top box required for each TV set. 10. Discounted Plans available on maximium of 2 additional TV sets. If services to the 1st set top box are disconnected/ suspended, services to the additional set top

boxes will also be disconnected/ suspended. 11. All channels may not be available at all ocations.

(xvii) DEN shall provide the Subscriber with the bill for charges due and payable by the Subscriber for availing services each month for which such charges become

payable by he Subscriber.

(xviii) In case of post-paid bills, he Subscriber shall be billed, on monthly basis.

(xix) In case of pre-paid bills, DEN shall, upon request from the Subscriber, provide the subscriber, at a cost of Rs. 100/- per month usage, the nformation relating to

the temized usage charges showing actual usage of service, provided that t shall not be mandatory for DEN to provide to the Subscriber the nformation referred

to n his provision or any period beyond 6 months preceding he month n which he request s made by he Subscriber.

(xx) DEN reserves he right o suspend or deactivate he service after ollowing he due process of aw f:

(a) The Subscriber s n breach of he provisions of hese Terms and Conditions; and/or

(b) The Subscriber has provided wrong nformation n he Subscriber Hardware Registration Form and/or

(c) The Subscriber ails o pay he bills within he applicable imelines; and/or

(d) The Subscriber s declared bankrupt or nsolvent; and/or

(e) DEN s directed/requested by Government or competent authorities; and/or

(f) Applicable aws mandate DEN o ake such action; and/or

(g) Any acts of piracy, raud or misuse of he service by he Subscriber s dentified; and/or

(h) Any orce majeure event (i.e., an event on which DEN does not have any control) occurs; and/or

(xxi) The Subscriber represents, warrants and undertakes o DEN hat:

(a) The Subscriber s competent under aw o execute he Subscriber Hardware Registration Form.

(b) The service shall be used solely for self-use n the Installation Address. The Subscriber shall not use the service for any commercial benefit, ncluding but

not imited o relaying, re-transmitting or redistributing he services o hird party or commercial customers.

(xxvi) No failure to exercise and no delay n exercising any right, power or remedy under the Subscriber Hardware Registration Form by DEN shall operate as a waiver.

Nor will any single or partial exercise of any right, power or remedy preclude any other or urther exercise of hat or any other right, power or remedy.

(xxvii) The LCO/MSO/ DEN/ts Aff ates w make reasonabe efforts o render unnterrupted Servce o he Subscrber and make no representaton and warranty other han hose set orth n

the Terms and hereby expressy dsc am a other warrantes express or mp ed, ncud ng but not mted o any mp ed warranty or merchantab ty or tness or a partcuar purpose.

incidental or consequential damage arising out of or in connection with the provision of the Service or inability to provide the same whether or not due to

suspension, interruption or termination of the Services or for any i nconvenience, disappointment due to deprival of any programme or information whether

attributable o any negligent act or omission or otherwise. Provided however he maximum i ability of LCO or Distributor or MSO or DEN/its Affiliates or any actual

or alleged breach shall not exceed the Subscription paid n advance to LCO for such duration of Service, for which the Subscriber had paid n advance but was

deprived due o such breach.

(xxix) The Subscriber will ndemnify and hold harmless the LCO, MSO DEN and ts Affiliates from all oss, claims, demands, suits, proceedings, damages, costs, expenses,

liabiliti es (including, without imitat ion, reasonable egal ees) or causes of or use and misuse of he Service or or non-observance of he Terms by he Subscriber.

(xxx) If any provision of this Subscriber Hardware Registration Form becomes invalid or unenforceable, in whole or in part, the validity of the remainder of the

Subscriber Hardware Registration Form shall not be affected. DEN and the subscriber shall agree to a valid substitute provision, which corresponds in its

economic effect as closely as egally possible o he nvalid or unenforceable provision which t replaces.

(xxxi) MSO/LCO shall not be responsible or disruption of services during service maintenance period.

(xxxii) These Terms and Conditions shall be governed by and construed n accordance with the aws of India. Courts at Delhi, to the exclusion of all other courts, shall

have exclusive urisdiction o entertain any disputes arising out of relating hereto.

(xxxiii) If any of he provson of he Terms becomes or s decared ega, nva d or unenforceabe or any reason, he other provs ons sha reman n u orce and effect and no a ure or deay o

exerc se any ght or emedy hereunder sha be construed or operate as a waver hereof. Terms may be amended by he Authorty rom me o me and sha be bndn g on a .

(xxxiv) The Quality of service and consumers complaint redressal prescribed under the regulations issued by Authority on 14th May 2012, are applicable herewith.
