SEALED TENDERS are invited from registered contractors holding valid licence under Contract (Regulation & Abolition) Act, having valid EPF/ESI/Service Tax registration for the following service contracts at Regional Centre for Extension & Development (CLRI), Leather Complex, Kapurthala Road, Jalandhar - 144021:

The Contractor should have office located in Jalandhar and should have executed at least One work of value Rs.8,70,000/- and above per annum satisfactorily in Government Departments, CSIR Labs or Public sector undertakings or organizations of repute. The prospective tenderers may satisfy themselves about the requirements by visiting the Centre on any working day (Monday to Friday) between 9.30 a.m. and 4.00 p.m. at the RCED-CLRI, Jalandhar.

Tender documents can be obtained from the Scientist-in-charge RCED-CLRI, Jalandhar either by post at above address or in person, on payment of Rs.500/- (non-refundable) by Demand Draft favouring Director, CLRI, Chennai payable at Chennai on any working day during the

period from 12.06.2018 to 28.06.2018 between 9.30 a.m. and 4.00 p.m against submission of

written request.

Tender documents can also be downloaded from CLRI website www.clri.org during above period. Tender document, if downloaded, must accompany Tender Document fee of Rs.500-(non-refundable) in form of Demand Draft drawn in favour of Director, CLRI, Chennai payable at Chennai. Tender documents without Tender Document fee shall be rejected.

Sealed tenders with EMD of Rs.17,400/- (Which will be refunded in respect of unsuccessful tenderers) through Demand draft in a nationalized / Scheduled bank in favour of Director, CLRI, Chennai, superscribing the Name of work on the envelope, should reach the Scientist-in-Charge, RCED-CLRI, Leather Complex, Kapurthala Road, Jalandhar – 14402, 9464014047, Email:

[email protected] by 3.00 p.m. on 02.07.2018 which would be opened at 3.30 p.m. on the same

day at RCED, Jalandhar in the presence of the tenderers.

Tenders received after the appointed time and date, whether sent by post or delivered in person are liable to be rejected. Tenders submitted without EMD and incomplete tenders are also liable to be rejected.

Director, CLRI reserves the right to accept or reject any or all the tenders without assigning any reason whatsoever and his decision shall be final and binding.

30 फोरी रगानेिारों को EMD डडभान्द्ड ड्राफ्ट औय ननविदा दस्तािेज िा‍क डडभान्द्ड ड्राफ्ट के ऩीछे कंऩनी / ठेकेदाय का नाभ, दयूबाष संख्मा औय ननविदा संख्मा शरखना होगा

40 ननषिदाकायों को अऩने ग्राहकों की सूची टस् तुत कयनी ह न्जनके शरए िे इसी टकाय के कामम कय यहे थे तथा कभ से कभ षऩछरे दो ठेके एिं एक ितमभान ठेका कामम का आदेि एिं अन् म षिियणों की टनतमों को बी टस् तुत कयना होगा

60 ननषिदा टस्तुत कयत ेसभम ननषिदाकाय को रु.17,400/- की ई.एभ0डी0 के प ऩ भें ननदेिक, सीएरआयआई, चने् नई के नाभ ऩय आहरयत डडभांड ड्राफ्ट, टस्तुत ककमा जाना चाहहए न्जसे असपर ननषिदाकायों को िाऩस ककमा जाएगा

70 ननषिदाकाय के टनतभाह बफर भें से, टचशरत दय ऩय आम-कय (ितमभान भें 2% औय उस ऩय 0% अधध टबाय एिं 0% शि ऺ ा उऩकय), महद ननषिदाकाय एक व्मन्क्त हो औय 15% महद ननषिदाकाय एक पभम हो, मा सभम-सभम ऩय संिो धध त का काट री जाएगी

80 महद कोई फोरी रगानेिारा ि ध सभम के अंदय अऩनी फोरी िाऩस रेता ह मा फोरी के ितम एिं टनतफंधों भें ऩरयितमन कयता ह , जो सीएरआयआई के शरए स् िीकामम नहीं हैं, तो सीएरआयआई अन् म ककसी अधधकाय मा उऩाम के मा ककसी ऩूिामग्रह के बफना फमाना जभा याशि के 5.% (ऩचास टनतित) को आत् मंनतक प ऩ से कब् त कयने का अधधकाय येता ह

90 महद कोई ननषिदाकाय सीएरआयआई के ककसी कभमचायी का रयश् तेदाय ह तो ननषिदा टस् तुत कयत ेिक् त उनका नाभ, ऩदनाभ औय रयश् त े के षिियणों को ननदेिक, सीएरआयआई को शरखेत प ऩ भें सूधचत ककमा जाना चाहहए

1. टस् तुत की गई ननषिदा, स् िीकृनत एिं कामम टदान कयने हेतु ननषिदा ेोरने की तायीे से 9. हदनों तक ि ध भानी जाएगी ननषिदा ेोरने की तायीे से 9. हदनों के फाद ि धता ऩयस् ऩय सहभनत से ही टदान की जाएगी

11 ननषिदांं को हदनांक 02.07.2018 को सामं 30.. फजे तक टबायी ि ऻाननक, आयसीईडी (सीएरआयआई), जारंधय के कामामरम भें टस् तुत ककमा जाना चाहहए संफंधधत ननषिदाकायों मा उनके टनतननधध की उऩन्स्थनत भें उसी तायीे के सामं 303. फजे ननषिदाएं ेोरी जाएंगी

Terms And Conditions for the Award of Contract for “Specialised upkeep, horticulture maintenance, unskilled work at tannery” at RCED-CLRI, Jalandhar

The prospective tenderers may satisfy themselves about the requirements by visiting the Regional Centre For Extension and Development (Central Leather Research Institute), Leather Complex, Kapurthala Road, Jalandhar – 144021,9464014047, Email:[email protected], on any working day between 9.30 AM to 4.00 PM before submitting their tender.

The tender should be submitted in the specified form ‘Tender Schedule’ (Non- transferable) as given in Annexure-I in a sealed cover with the name of the contract written on the inner envelope. The Tenderer is also required to fill-up and append their signature in the Compliance Statement as in Annexure –II and attach it to the Tender Document.

3. Bidders are required to write the name of the company/contractor, Telephone No. and the Tender Number on the backside of EMD Demand Draft and Tender Document Fee Demand Draft.

4. The tenderers shall furnish a list of their clients for whom they have been executing similar work and submit copies of work orders and other details at least from two previous contracts and one current contract.

5. Copies of the balance sheet for the last three years must be attached in the bid.

6. While submitting the tender, the Contractor shall deposit an EMD of Rs.17,400/- by

Demand draft drawn in favour Director, C.L.R.I. Chennai which will be refunded in respect of unsuccessful tenderers.

7.

Income-tax at the prevailing rate (presently 2% and surcharge thereon at the rate of 0% & 0% Education cess) in case the Contractor is an individual and 15% in case the Contractor is a firm will be deducted from the monthly bill of the Contractor or as amended from time to time.

8.

If any tenderer withdraws his tender within the validity period or makes any modification in the terms and conditions of the tender which are not acceptable to the department, then the CSIR shall, without prejudice to any other right or remedy, be at liberty to forfeit 50% (fifty per cent) of the earnest money absolutely.

9. If any relative of the tenderer is an employee of CLRI/RCED the name, designation and relationship of such employee shall be intimated to the Scientist in charge, RCED-CLRI, Jalandhar in writing while submitting the tender.

10. The tender submitted shall remain valid for 90 days from the date of opening for the purpose of acceptance and award of work. Validity beyond 90 days from the date of opening shall be by mutual consent.

Last date for receipt of tenders in the office of the Scientist in charge, RCED-CLRI

Jalandhar will be 3.00 p.m. on 02.07.2018 and the tenders will be opened on the

same day at 3.30 p.m. in the presence of the tenderers or their representative present.

ठेका एक िष ुतक की अिधध के शरए टदान की जाती ह न्जसे अच् छे कामम-ननष् ऩादन के आधाय ऩय उसी स्िीकृत ननषिदा दय ऩय षिस् तारयत की जा सकती ह ठेकेदाय को ठेका रेने से ऩहरे तथा उन्‍रखेत सबी ितयों एिं टनतफंधों को स् िीकाय कयने के फाद टबायी ि ऻाननक के ऩयाभिम भें एक उधचत भू‍ म के न् मानमकेतय भुहय काग क भें कयाय ऩय हस् ताऺय कयना होगा

15 कयाय ऩय हस् ताऺय कयने से ऩहरे ठेकेदाय को डडभा‍ ड ड्राफ्ट/FDR (ित ेरागू की जाएंगी) के प ऩ भें िाषिमक ठेके के भू‍ म के 1.% के प ऩ भें सुयऺा जभा की यकभ जभा कयना चाहहए, न्जसे ठेके की सभान््त ऩय देम यकभों को महद कोई हों, तो सभामोन्जत कयने के फाद िाऩस की जाएगी

16 ठेकेदाय, ठेका श्रभ (षिननमभन एिं सभान््त) अधधननमभ 197. के अंतगमत सऺभ अधधकायी से आिश् मक राइसेन् स टा् त कयेंगे

17 ठेके के अंतगमत त नात व् मन्क्तमों की कामामिधध सोभिाय से िननिाय ह तथा याष् रीम छु ी एिं यषििाय के हदन को छोड़कय सबी कामम हदिसों को कामम ककमा जाना चाहहए

18 ठेकेदाय द्िाया त नात व् मन्क्तमों का िायीरयक गठन अच् छा होना चाहहए तथा उनकी आमु 18 ििम से कभ नहीं होना चाहहए औय 5. ििम से ज् मादा नहीं होना चाहहए

19 ठेकेदाय द्िाया त नात व् मन्क्त, ठेकेदाय के ही कभमचायी होंगे ककसी बी भाभरे भें उक् त कभमचायी तथा सीएसआईआय के फीच भें टत् मऺ मा ऩयोऺ प ऩ भें ननमोक् ता-कभमचायी संफंध की िषृद्ध नहीं होगी

ठेकेदाय द्िाया त नात व् मन्क्तमों की उधचत ऩहचान के शरए ठेकेदाय, टबायी ि ऻाननक, आयसीईडी, (सीएरआयआई),जारंधय द्िाया ननधामरयत ऩहचान ऩत्र जायी कयेंगे तथा िे आयसीईडी ऩरयसयों भें कामम के दौयान अननिामम प ऩ से ऩहचान ऩत्र ऩहनेंगे ऩहचान ऩत्र ेो देने ऩय, ठेकेदाय तुयंत टबायी ि ऻाननक, आयसीईडी (सीएरआयआई), जारंधय को सूधचत कयेंगे तथा उनके अनुभोदन से अनुशरषऩ ऩहचान ऩत्र जायी कयने की व् मिस् था कयेंगे

21 ककसी बी कामम हदिस भें त नात व् मन्क्तमों की संख् मा, ककसी बी हदन स् िीकृत संख् मा से कभ नहीं होनी चाहहए महद ठेकेदाय स् िीकृत व् मन्क्तमों की संख् मा त नात कयने भें असपर होंगे, तो टनतभाह बफर से ठेकेदाय द्िाया त नात व् मन्क्तमों के शरए बुगतान की जानेिारी यकभ से 1.% काट री जाएगी

22 ठेकेदाय को मह सुननन्श्चत कयना होगा कक अच् छे व् मिहाय िारे व् मन्क्तमों को ही त नात कये जो काभ कयेंगे तथा ननमुक् त ठेकेदाय के ननदेिों का बी अनुऩारन कयेंगे महद ककसी बी व् मन्क्त का व् मिहाय संतुष् ट नहीं ऩामा जाता ह , तो ठेकेदाय उस व् मन्क्त को तुयंत फदर देंगे

23 टबायी ि ऻाननक, आयसीईडी (सीएरआयआई), जारंधय मा उनके द्िाया टाधधकृत अन् म कोई व् मन्क्त ठेकेदाय द्िाया त नात व् मन्क्तमों का आकन्स्भक ननयीऺण बी कय सकत ेहैं ताकक िे उनके कामयों भें सुधाय कय सकें / फेहतय फना सकें

24 आयसीईडी (सीएरआयआई), जारंधय द्िाया ठेकेदाय द्िाया त नात व् मन्क्तमों ऩय सुयऺा जाचं एिं टनतफंधों को रागू ककमा जाएगा

25 ठेकेदाय द्िाया त नात व् मन्क्त, ठेकेदाय के ननमंत्रण एिं ननयीऺण के अंतगमत यहेंगे तथा ठेकेदाय को उनकी भ कदयूी एिं अन् म सबी देमों के बुगतान आहद के शरए न्जम्प भेदाय भाना जाएगा, न्जसे ठेकेदाय षिशबन् न श्रभ षिननमभन एिं अन् म सांषिधधक टािधानों के अंतगमत बुगतान कयने के शरए न्जम्प भेदाय ह

26 ठेकेदाय, उक् त षििम ऩय केन् र/ याज् म अधधननमभ मा षिननमभनों के टािधानों का अनुसयण कयने के साथ साथ कयाय भें उन्‍रखेत ितम एिं टनतफंधों का बी ऩारन कयेंगे

13. Other things being equal contractors belonging SC/ST Community will be given preference.

14. The Contract is for a period of ONE YEAR which may be extended for further period of subject to satisfactory performance of the work at the same tendered rate and on mutual consent. The Contractor shall execute an agreement on a Non-judicial stamp paper of appropriate value (Rs. 100/-) in consultation with the Scientist in charge, before taking up the Contract agreeing to abide by al the terms and conditions mentioned herein.

15. Before signing the agreement, the Contractor shall deposit 10% of the annual value of contract as Security Deposit in the form of DD/FDR (Conditions apply) which would be released on expiry/termination of the contract after adjustment of dues if any.

16. The Contractor shall obtain the necessary licence under the Contract Labour (Regulation and Abolition) Act 1970 from the competent authority.

17. The working hours for the personnel engaged under the Contract would Monday to Saturday. The work should be carried out on all days except Sundays and National holidays.

18. The workers deployed by the Contractor shall possess good physique and no person below 18 years of age shall be deployed.

19. The persons deployed by the Contractor shall be the employees of the Contractor. In no case shall a relationship of employee and employer between the said persons and CSIR accrue implicitly or explicitly

20. For the purpose of proper identification of the personnel of the Contractor, the Contractor shall issue identify cards as specified by Scientist in charge, RCED-CLRI, Jalandhar and the said personnel shall be bound to display them while on duty within the RCED premises. In case of loss the Contractor shall immediately inform the Scientist in charge, RCED-CLRI, Jalandhar and make arrangements for issue of a duplicate identity card with the approval of latter.

21. The number of workers to be employed shall not be less than what is agreed upon on any working day. If the Contractor fails to deploy the required minimum number of persons as indicated for satisfactory execution of the work, recovery at 10% of wages payable to the persons by the Contractor shall be recovered from the monthly bill.

22. The Contractor should ensure that only well behaved workers, who can carry out and obey the instructions of the Contractor are employed. In case where the work or behaviour of any worker is not found satisfactory, the Contractor should replace him immediately.

23. The Scientist in charge, RCED-CLRI, Jalandhar or any other person authorised by him shall be at liberty to carry out surprise checks on the persons so deployed by the Contractor in order to ensure their strength/duties.

24. The personnel of the Contractor shall be subject to security checks and restrictions of the RCED-CLRI Jalandhar.

25. The persons deployed by the Contractor shall remain under the control and supervision of the Contractor and the Contractor shall be liable for payment of their wages, etc and all other dues which the Contractor is liable to pay under various Labour Regulations and other statutory provisions.

26. The Contractor shall conform to the provision of Central/State Act(s) or the Regulations on the subject as well as the terms and conditions of the agreement to be executed.

27.

The Contractor shall disburse the wages to his personnel in the presence of an officer nominated by the Scientist in charge, RCED-CLRI, Jalandhar, on or before the Fifth day of every month and issue wage slips to the workers. The disbursement shall be done within the premises of the RCED-CLRI, Jalandhar on a working day and during working hours of the RCED-CLRI Jalandhar. On their part, CLRI shall make payment to the Contractor within ten working days of receipt of the bill from the Contractor, if the bill is in order and all required document has been submitted.

28.

The Contractor shall, on demand, furnish copies of wage register/ muster rolls etc. to Scientist in charge, RCED-CLRI, Jalandhar for having paid all the dues to the persons deployed by the Contractor for the work. The Contractor shall communicate to RCED-CLRI, Jalandhar the name, parentage, residential address, age etc. of each of the persons deployed by him.

29.

The Contractor shall deploy his persons in such a way that the persons get weekly rest/leave under relevant provisions of the Shops & Establishments Act. The Contractor shall in all his dealings with the persons in his employment have due regard to all recognized festivals, days of rest and religious or other customs. In the event of the Contractor committing a default or breach of any other provisions of the Labour Laws including the provisions of Contract Labour (Regulations & Abolition) Act 1970, as amended from time to time or furnish any information, or submit or file any statement under the provisions of the said regulations and rules which is materially incorrect, he shall without prejudice to any other liability pay to the Director, CLRI, Chennai a sum not exceeding half per cent of the monthly wages for every default, breach of furnishing, making submitting, filing such materially incorrect statement in the event of the Contractor defaulting continuously in this respect he shall be liable to pay half percent of the monthly wages per day for breach or default. The rates quoted must not be less than the minimum wages prescribed by the State Govt / Central Govt, whichever is higher .

30.

During the validity of the Contract, the Contractor shall not make any additional claims other than expressly quoted. The Contractor shall have to execute additional similar works if any, when called for during the period of Contract by engaging additional workers on the same terms and conditions of the Contract.

31.

The Contractor shall keep the RCED-CLRI, Jalandhar indemnified against all claims whatsoever in respect of the employees deployed by him. In case any employee of the Contractor so deployed enters into dispute of any nature whatsoever, it will be the sole responsibility of the Contractor to contest the same. In case RCED-CLRI, Jalandhar is made a party and is supposed to contest the case, the Contractor shall reimburse to RCED-CLRI, Jalandhar the actual expenses incurred towards Counsel fee and other expenses which shall be paid in advance by the Contractor on demand. The Contractor shall ensure that no financial or any other liability comes on RCED-CLRI), Jalandhar in this respect of any nature whatsoever and shall keep RCED-CLRI), Jalandhar indemnified in this respect.

32. RCED-CLRI, Jalandhar shall have the right to adjust and or deduct any of the amount as aforesaid from the payment to the Contractor.

33.

The Contractor shall furnish an indemnity bond on non-judicial stamp paper of appropriate value (Rs.100) equal to the annual value of the Contract at his own cost to indemnify RCED-CLRI, Jalandhar against any claim arising out of or connected with the Contract.

a) कयाय के अंतगमत मा संफंधधत षििाद (कयाय के अंतगमत षििेि प ऩ से उन्‍रखेत ितयों से संफंधधत ननणममों को छोड़कय) के टश् नों के भाभरों ऩय ननणमम के शरए भहाननदेिक, सीएसआईआय, को षििाचन के शरए मा उनके द्िाया नाभांककत व् मन्क्त के ऩास बेजा जाएगा

b) षििाचक का ननणमम सबी ऩऺों के शरए अंनतभ होगा षििाचक के स् थानांतयण ऩय मा कामामरम छोड़कय जाने मा इस् तीपा देने मा कामम कयने से इनकाय मा ककसी कायणिि कामम नहीं कय ऩाने की िजह से सीएसआईआय के भहाननदेिक, कयाय के ितयों एिं टनतफंधों के अनुसयण भें जानेिारे षििाचक के स् थान ऩय दसूये षििाचक ननमुक् त कयेंगे तथा ननमुक् त व् मन्क्त अऩने ऩूिम षििाचक द्िाया छोड़ ेकामम स् तय से कामम जायी कयने का अधधकाय येत ेहैं

34. As regards reimbursement of claim towards statutory payments, it shall be the responsibility of the Contractor to pay these sums at the rates prescribed by the authorities concerned and then produce documentary evidence to admit the claims for payment. This may be claimed through supplementary bills periodically.

35. This contract may be terminated on any of the following contingencies: A. On the expiry of the contract period as stated above. B. By giving one month’s notice by RCED-CLRI,Jalandhar.

i) for committing breach by the Contractor of any terms & conditions of the agreement .

ii) on assigning the contract or any part thereof or any benefit or interest therein or there under by the Contractor to any third person or sub-letting whole or part of the contract to any third person.

c) on Contractor being declared insolvent by competent Court of Law.

36. During the notice period for termination of the contract, in the situation contemplated above, the Contractor shall keep on discharging his duties as before till the expiry of notice period.

37. It shall be the duty of the Contractor to remove all the persons deployed by him on termination of the contract and ensure that no person creates any disruption/hindrance/problems of any nature to RCED-CLRI, Jalandhar.

38. ARBITRATION. a) In the event of any question dispute arising under the agreement or in connection

herewith (Except as to matters the decision of which is specifically provided under the agreement) the same shall be referred to the sole arbitration of Director-General, CSIR or his nominee.

b) The award of the arbitrator shall be final and binding on the parties. In the event of such arbitrator to whom the matter is originally referred being transferred or on vacating his office or resigning or refusing to work or neglecting his work being unable to act for any reason whatsoever, the Director-General, CSIR shall appoint another person to act as Arbitrator in place of the outgoing Arbitrator in accordance with the terms of the Agreement and the person so appointed shall be entitled to proceed with the reference from the stage at which it was left by his predecessor.

c) The expression Director-General, CSIR shall mean and include an a acting/officiating Director-General.

d) The Arbitrator may from time to time, with the consent of all parties enlarge the time for making (and publishing) the award .

e) The Arbitrator may give interim award(s) and/or directions, as may be required. f) Subject to the aforesaid provisions, the Arbitration Act and the rules made there

under and any modification thereof from the time being in force shall be deemed to apply to the arbitration proceedings under this clause.

g) The venue of the arbitration shall be CHENNAI.

39. Tenders should be accompanied by documents towards proof of Registration of ESI, EPF & Service Tax, Income Tax PAN and Compliance Statement duly filed up and signed.

40. The Contractor should have deposited all Statutory Payments like ESI, EPF and Service Tax with Competent authority under previous contracts. The Contractor is required to provide Certificate from the previous Principal employer in this regard.

41. The Director, C.L.R.I, Chennai – 600 020 reserves the right to accept or reject any or all the tenders without assigning any reason whatsoever and his decision shall be final and binding.

जफकक ठेकेदाय ने मह टस् ततु ककमा ह कक िह इस ठेके को टा् त कयने के मोग् म ह तथा इस सदंबम भें उसकी तयप से कोई काननूी कायमिाई मा अन् म कोई फाधा नहीं ह इस ठेके को टा् त कयने तथा/मा कामम कयने के शरए ठेकेदाय को अऩने ही ेचे ऩय उक् त अधधननमभ मा उसभें ककसी बी टकाय के सिंोधन के अतंगमत ऩयूा ककए जानेिारे ककसी बी टकाय की फाध् मता तथा/मा औऩचारयकतांं को ऩयूा ककमा जाना चाहहए ठेकेदाय को इसके अनऩुारन भें केन् र के टबायी ि ऻाननक को रयऩोटम कयना होगा ठेकेदाय, उक् त अधधननमभ मा अन् म ककसी बी अधधननमभ मा उसके टािधानों के उ‍ रघंन के शरए स् िम ंही न् जम्प भेदाय होगा

This AGREEMENT made on this _____________ day of _________________________

______________________ between the COUNCIL OF SCIENTIFIC & INDUSTRIAL RESEARCH,

a Society registered under the Societies Registration Act and having its office at “Anusandhan

Bhavan”, Rafi Marg, New Delhi (hereinafter referred to as CSIR) of the ONE PART.

And

M/s ___________________________________ at _______________________

__________________________________________ (hereinafter referred to as Contractor) of the

OTHER PART.

WHEREAS the INSTITUTE is desirous of giving a job contract for providing the

“Specialised upkeep, horticulture maintenance, unskilled work at tannery” at RCED-CLRI,

Jalandhar which is a constituent unit of CSIR (hereinafter referred to as Centre) and whereas the

Contractor has offered to provide the job work on the terms and conditions hereinafter stated.

WHEREAS Contractor has represented that he is eligible to get this contract and there is

no legal or any other bar fro him in this respect. Any obligations and/or formalities which are

required to be fulfilled under the said Act or any amendment thereto for the purpose of entering

into and/or execution of this contract shall be carried out by the Contractor at his own expenses,

etc. and the Contractor shall report the compliance thereof to the Scientist-in-Charge of Centre.

The Contractor shall be solely liable for any violation of the provisions of the said Act or any other

Act.

WHEREAS CSIR has agreed to award the contract of “Specialised upkeep, horticulture

maintenance, unskilled work at tannery” at RCED-CLRI, Jalandhar.

AND WHEREAS the Contractor has agreed to furnish to the Lab/Instt. a security deposit of

Rs. ________________ by way of Demand Draft / Fixed Deposit Receipt of any Nationalised

Banks.

NOW THEREFORE BY THESE ARTICLES AND ON THE PREMISES mentioned above,

the parties have agreed to as under:-

चभमिोधनारम भें अकुिर कामम टदान कयने की न् जम्प भेदायी टा् त होने के फाद ठेकेदाय, केन् र के टबायी ि ऻाननक मा उनके द्िाया नाशभत व् मन्क्त के ऩयाभिम से ही कामामरम-येयेाि, उद्मान कामम के शरए त नात व् मन्क्तमों के शरए ्मटूी आफहंटत कयेंगे इसके अनतरयक् त, ठेकेदाय सभम सभम ऩय कामम व् मिस् था का ऩनुयीऺण कयेंगे तथा व् मिस् था कायगय फनाने के शरए टबायी ि ऻाननक को सराह देंगे आग,े इस सदंबम भें ठेकेदाय केन् र के टबायी ि ऻाननक मा उनके द्िाया नाशभत व् मन्क्त द्िाया सभम सभम ऩय हदए गए ननदेिों/ननदेिों का अनऩुारन कयने के शरए फाध् म हैं

3. केन् र के टबायी ि ऻाननक मा टबायी ि ऻाननक द्िाया टाधधकृत अन् म कोई बी व् मन्क्त, ठेकेदाय द्िाया त नात व् मन्क्तमों ऩय आकन्स्भक जांच कयने के शरए स् िततं्र ह ताकक मह सनुनन्श्चत ककमा जा सके कक िे अऩना कामम कय यहे हैं

4. मह कक ठेकेदाय द्िाया त नात व् मन्क्त के कामम सही तयह से नहीं कयने ऩय मा ककसी ग य-काननूी मा

अव् मिन्स्थत कक्रमाकराऩों भें िाशभर हों, तो ठेकेदाय ससे व् मन्क्तमों को तयंुत ननकारे मा उस ऩय कायमिाई कयें औय उसकी एक रयऩोटम टमोगिारा/ससं् थान/ सीएसआईआय को टस् ततु कयें साथ ही, ठेकेदाय को सफंधंधत व् मन्क्त के ऩिूम उन्‍रखेत कक्रमाकराऩों के भाभरे भें केन् र के टबायी ि ऻाननक की भांग ऩय उस ेटनतस् थाषऩत कयना होगा

A. GENERAL CONDITIONS

1. That it is expressly understood and agreed between the parties to this Agreement that

the persons deployed by the Contractor for the services mentioned above shall be the employees

of the Contractor for all intents and purposes and that the persons so deployed shall remain under

the control and supervision of the Contractor and in no case, shall a relationship of employer and

employee between the said persons and the Centre shall accrue/arise implicitly or explicitly.

2. That on taking over the responsibility of providing Specialised upkeep, horticulture

maintenance ,unskilled work at tannery, the Contractor shall formulate the mechanism and duty

assignment of housekeeping, horticulture, Tannery unskilled work personnel in consultation with

Scientist-in-Charge of the Centre or his nominee. Subsequently, the Contractor shall review the

Job arrangement from time to time and advise the Scientist-in-Charge of the Centre for further

streamlining their system. The Contractor shall further be bound by and carry out the

directions/instructions given to him by the Scientist-in-Charge of the Centre or the officer

designated by the Scientist-in-Charge in this respect from time to time.

3. That the Scientist-in-Charge of the Centre or any other person authorized by the

Scientist-in-Charge shall be at liberty to carry out surprise check on the persons so deployed by

the Contractor in order to ensure that persons deployed by him are doing their duties.

4. That in case any of the persons so deployed by the Contractor does not come upto the

mark or does not perform his duties properly or indulges in any unlawful riots or disorderly

conduct, the Contractor shall immediately withdraw and take suitable action against such persons

on the report of the Lab./Instt./CSIR in this respect Further, the Contractor shall immediately

replace the particular person so deployed on the demand of the Scientist-in-Charge of the Centre

in case of any of the aforesaid acts on the part of the said person.

B. ठेकेदाय की फाध् मता

1. मह कक ठेकेदाय, केन् र के टबायी ि ऻाननक के ऩयाभिम तथा उनके द्िाया ठीक सभझे जाने ऩय ’आयसीईडी (सीएरआयआई), जारधंय भें विशिष् ट यखयखाि, उद्मान यखयखाि तथा भिुोधनारम भें ंका िर काम’ु’ टदान कयेंगे

2. मह कक कामम-ननष् ऩादन के शरए ठेकेदाय यषििाय एि ंयाष् रीम छुह मों के हदनों के साथ सबी कामम हदिसों भें कामम हेत ुव् मन्क्तमों की व् मिस् था कयेंगे ठेकेदाय मह बी सनुनन्श्चत कयें कक उनके द्िाया त नात व् मन्क्त सभम की ऩाफदंी औय कामम-ननष् ऩादन भें अनिुासन फनाए य ेें आगे मह बी सहभनत की जाती ह कक ठेकेदाय 18 ििम की उम्र से ज् मादा तथा 5. िियों से कभ उम्र के व् मन्क्तमों को ही त नात कयेंग,े जो धचककत् सक एि ंिायीरयक ृषन्ष्ट से स् िस् थ हों

3. ठेकेदाय मा उसके द्िाया त नात व् मन्क्त के फइेभानी औय/मा अन् म ककसी कायण स े महद आयसीईडी (सीएरआयआई), जारधंय को ककसी बी टकाय की हानन होती ह , तो भांग ककए जाने ऩय ठेकेदाय को आयसीईडी (सीएरआयआई), जारधंय को ऺनतऩनूत म टदान की जाएगी

4. मह कक ठेकेदाय सनुनन्श्चत कयेंगे कक उनके द्िाया त नात व् मन्क्त गेट-ऩास ऩय टमोगिारा/ससं् थान के टाधधकृत टाधधकारयमों के हस् ताऺय के बफना सीएरआयआई/सीएसआईआय की कोई बी सऩंन्त्त ऩरयसयों के फाहय रे जाने नहीं देंगे ककसी बी टकाय की झठू, धोेेफा की तथा/मा कोई गु् त कायणों स ेफचाने के शरए गेट-ऩास ऩय हस् ताऺय कयने के शरए टाधधकृत व् मन्क्तमों के नभनेू हस् ताऺय तथा महद कोई ऩरयितमन हों, उन् हें बी ठेकेदाय को शरखेत प ऩ भें सधूचत ककए जाएंगे इसके अनऩुारन के शरए टबायी उधचत व् मिस् था कयेंगे

5. मह कक ठेकेदाय आिश् मकता होने ऩय अऩने ही ेचम ऩय केन् र भें टदान की जानेिारी उऩमुमक् त सेिां ंके शरए फीभा टा् त कयेंग ेतथा ठेका श्रभ (षिनननमभन एि ंसभाऩन) अधधननमभ, 197.; कभमचायी याज् म फीभा अधधननमभ; काभगाय ऺनतऩनूत म अधधननमभ, 1923; भ कदयूी बगुतान अधधननमभ, 1936; कभमचायी बषिष् म ननधध (एि ंअन् म टािधान) अधधननमभ, 1952; फोनस बगुतान अधधननमभ,1965; न् मनूतभ भ कदयूी अधधननमभ, 1948; ननमोजक दानमत् त् ि अधधननमभ, 1938; फच् च ेयो कगाय अधधननमभ, 1938 तथा/मा उन ऩय राग ू होनेिारे अन् म कोई ननमभ/षिननमभन तथा/मा सांषिधधकों भें उन्‍रखेत सबी टािधानों का अनऩुारन कयेंगे तथा आगे सबी रोऩ, गरती, उ‍ रघंन तथा/मा ककसी बी टकाय के दाि,े भांग, घाटा, कख् भ तथा उऩमुमक् त सांषिधधक टािधानों का अनऩुारन नहीं कयने से होनेिारे व् ममों स ेकेन् र को ऺनतऩनूत म टदान कयेंगे उक् त अधधननमभ, ननमभ/षिननमभन तथा/मा ककसी बी टकाय की उऩषिधध मा इनके अतंगमत फनाए गए ननमभों का ऩारन कयने भें ठेकेदाय की असपरता के कायण दाि,े भांग, हानन मा कख् भों से केन् र को होनेिारी ककसी बी टकाय की हानन मा ेचयों को, ठेकेदाय के टनतभाह बगुतानों से काट शरमा जाएगा

B. CONTRACTOR’S OBLIGATIONS

1.That the Contractor shall provide “SPECIALISED UPKEEP, HORTICULTURE

MAINTENANCE, UNSKILLED WORK AT TANNERY” AT RCED-CLRI JALANDHAR as deemed fit

by him in consultation with the Scientist-in-Charge of the Centre.

2. That for performing duties, the Contractor shall deploy persons on ALL working days

except Sundays and National Holidays. The Contractor shall ensure that the persons are punctual

and disciplined in performance of their duty. It is further agreed that the Contractor shall engage

medically and physically fit persons not below 18 years of age and preferably below the age of 50

years.

3. If there is any loss to the RCED-CLRI on account of dishonesty, and/or due to any

lapse on the part of the Contractor or his Worker, the Contractor shall make good on demand, the

loss to the RCED-CLRI, Jalandhar.

4. That the Contractor shall submit details of the names, parentage, residential address,

age, etc. of the persons deployed by him in the premises of the Centre for the purpose of proper

identification of the employees of the Contractor deployed at various points, he shall issue identity

cards bearing their photographs/Identification, etc. and such employees shall display their identity

cards at the time of duty.

5. That the Contractor shall at his own cost, if required, take necessary insurance cover in

respect of the aforesaid services rendered to the Centre and shall comply with the statutory

provisions of Contract Labour (Regulation & Abolition) Act, 1970; Employees State Insurance Act;

Workman’s Compensation Act, 1923, Payment of Wages Act, 1936, The Employees Provident

Fund (and Miscellaneous Provisions) Act, 1952; Payment of Bonus Act, 1965, The Minimum

Wages Act, 1948 Employer’s Liability Act,1938, Employment of Children Act,1938 and/or any

other Rules/regulations and/or statutes that may be applicable to them and shall further keep the

Centre indemnified from all acts of omission, fault, breaches and/or any claim, demand; loss; injury

and expense arising out from the non-compliance of the aforesaid statutory provision. Contractor’s

failure to fulfill any of the obligations hereunder and/or under the said Acts, rules/regulations and/or

any bye-laws or rules framed under or any of these the Centre shall be entitled to recover any of

the such losses or expenses which it may have to suffer or incur on account of such claims,

demands, loss or injury from the contractor’s monthly payments.

6. मह कक ठेकेदाय अगरे भाह के शरए बफर टस् ततु कयने से ऩहरे उसके द्िाया केन् र के बिन भें त नात व् मन्क्तमों के नाभ के आगे ESI एि ंEPF की तयप से जभा अिंदान का सफतू टस् ततु कयेंगे ठेकेदाय द्िाया टस् ततु नहीं ककए जाने ऩय ESI एि ंEPF के अिंदानों के बगुतान के दािे को आिश् मक दस् ताि ेकों को टस् ततु कयने तक योक शरमा जाएगा

7. मह कक ठेकेदाय षिििे प ऩ से न् मनूतभ भ कदयूी अधधननमभ, 1948 के अतंगमत ननधामरयत 195. के ननमभों के टािधानों तथा सभम सभम ऩय दयों, ितम एि ंटनतफधंों भें ककए जानेिारे सिंोधनों का ऩणूम प ऩ से अनऩुारन कयेंगे

8. मह कक ठेकेदाय बिन के ऩरयसयों भें एक स् थामी उऩन्स्थनत ऩजंी/नाभ ऩजंी य ेेंग,े जो केन् र द्िाया टाधधकृत अधधकारयमों द्िाया जांच एि ंननयीऺण के शरए ेुरा येा जाएगा

9. मह कक ठेकेदाय को केन् र के टनतननधध की उऩन्स्थनत भें ही त नात व् मन्क्तमों को भ कदयूी, आहद का बगुतान कयना होगा तथा भांगे जाने ऩय टमोगिारा/ससं् थान को कयाय के अतंगमत कामम हेत ुउनके द्िाया त नात व् मन्क्तमों को ककए गए बगुतान के सफतू भें भ कदयूी ऩजंी/ उऩन्स्थनत नाभ ऩजंी आहद की टनतमां टस् ततु कयना होगा ठेका श्रभ (षिननमभन एि ंसभाऩन) अधधननमभ,1970 के टािधानों के अनसुयण भें केन् र के कामयों स े सफंधंधत षिशबन् न श्रभ काननूों के अतंगमत उनके द्िाया त नात व् मन्क्तमों के टनत टनतफद्धता सनुनन्श्चत कयने के शरए ही ठेकेदाय ऩय मह फाध् मता थोऩी जाती ह ठेकेदाय, भ कदयूी, अबगुताननत भ कदयूी की िसरूी एि ंअटाधधकृत कटौनतमां, भ कदयूी फकु येयेाि, भ कदयूी न्स्रऩ, यो कगाय ितें, तथा आिधधक षिियखणमों का ननयीऺण एि ं टस् ततुीकयण के सदंबम भें श्रभ षिननमभनों का अनऩुारन कयेंगे मा उनके अनऩुारन ककए जाने का कायण फनेंगे

10. ठेकेदाय, त नात व् मन्क्तमों द्िाया ककसी बी टकाय के ग य-काननूी कक्रमाकराऩ मा अनादयऩणूम आचयण योकने के शरए आिश् मक उऩाम अऩनाएंगे तथा केन् र भें काममयत व् मन्क्तमों एि ंकेन् र की सऩंन्त्त की सयुऺा एि ंिांनत का िाताियण सनुनन्श्चत कयेंगे

11. मह कक ठेकेदाय त नात व् मन्क्तमों को इस तयह ्मटूी आफहंटत कयेंगे कक उन् हें ऩमाम् त सा् ताहहक आयाभ शभरे उनसे शरए गए कामम की कामामिधध/ छु ी के सफंधं भें दकुान एि ंस् थाऩना अधधननमभ सफंधंी टािधानों का उ‍ रघंन नहीं होना चाहहए यो कगाय सफंधंी अऩने सबी व् मिहायों भें ठेकेदाय सबी टचशरत त् मोहाय, आयाभ के हदन तथा अन् म धाशभमक एि ंऩद्धनतमों के टनत श्रद्धा ननबाएंगे ठेकेदाय द्िाया श्रभ काननूों तथा सभम सभम ऩय ऩरयिनत मत ककसी बी सिंोधन के साथ ठेका श्रभ (षिननमभन एि ंसभाऩन) अधधननमभ 197. के साथ ककसी बी टािधान का उ‍ रघंन मा गरती कयने मा उक् त षिननमभन एि ं ननमभों के टािधानों के अतंगमत िास् तषिक प ऩ से ककसी गरत कथन मा पाइर मा सचूना टस् ततु कयने ऩय, उत् तयदानमत्त् ि के टनत ऩऺऩात ककए बफना केन् र के टबायी ि ऻाननक द्िाया दािा की गई यकभ का बगुतान कयेंगे

6. That the Contractor shall submit the proof of having deposited that amount of contribution

claimed by him on account of ESI & EPF towards the persons deployed at Centre buildings in their

respective names before submitting the bill for the subsequent month. In case the Contractor fails

to do so, the amount claimed towards ESI & EPF contribution will be withheld till submission of

required documents.

7. That the Contractor shall particularly abide by the provisions of Minimum Wages Act,

1948 with Rules 1950 framed there-under, as amended from time to time on the rates, terms and

conditions etc.

8. That the Contractor shall be required to maintain permanent attendance register/roll

within the building premises which will be open for inspection and checking by the authorized

officers of Centre.

9. That the Contractor shall make the payments of wages, etc. to the persons so deployed

in the presence of representative of the Centre and shall on demand furnish copies of wages

register/muster roll, etc. to the Lab./Instt. for having paid all the dues to the persons deployed by

him for the work under the Agreement. This obligation is imposed on the Contractor to ensure that

he is fulfilling his commitments towards his employees so deployed under various Labour Laws,

having regard to the duties of Centre in this respect as per the provisions of Contract Labour

(Regulation and Abolition) Act, 1970. The Contractor shall comply with or cause to be complied

with the Labour regulations from time to time in regard to payment of wages, wage period

deductions from wages, recovery of wages not paid and deductions unauthorisedly made,

maintenance of wages book, wage slip, publications of scale of wages, and terms of employment,

inspection and submission of periodical returns.

10. The Contractor shall take all reasonable precautions to prevent any unlawful riots or

disorderly conduct or acts of his employees so deployed and ensure preservation of peace and

protection of persons and property of Centre.

11. That the Contractor shall deploy his persons in such a way that they get weekly rest.

The working hours/leave for which the work is taken from them, do not violate relevant provisions

of Shops and Establishments Act. The Contractor shall in all dealings with the persons in his

employment have due regard to all recognized festivals, days of rest and religious or other

customs. In the event of the Contractor committing a default or breach of any of the provisions of

the Labour Laws including the provisions of Contact Labour (Regulation and Abolition) Act, 1970

as amended from time to time or furnishing any information, or submitting or filing any statement

under the provisions of the said regulations and rules which is materially incorrect, they shall

without prejudice to any other liability pay to the Scientist-in-Charge of the Centre. a sum as may

be claimed by Centre

1. मह कक ठेकेदाय द्िाया उऩमुमक् त टदत् त सेिां ं के भआुि के के शरए केन् र उन् हें टनतभाह रु……………………. की एकभशु् त याशि टदान कयेगा न्जसभें भ कदयूी औय सेिा टबाय िाशभर होंगे इस टकाय के बगुतान, ठेकेदाय द्िाया टस् ततु ककए बफर तथा इसके शरए केन् र के नाशभत अधधकायी द्िाया टाभाखणत कयने के फाद टनतभाह 1. तायीे को ककमा जाएगा

2. मह कक केन् र ने ठेकेदाय को उऩमुमक् त एकभशु् त याशि टदान कयने की सहभनत टदान की ह

3. मह कक सीएसआईआय ठेकेदाय को सयकाय (बायत सयकाय) द्िाया सभम सभम ऩय भ कदयूी भें ककए गए सिंोधनों के कायण बगुतान भें होनेिारी िषृद्ध/फढोतयी टबायों का बी बगुतान कयेंगे

D. ऺनतऩनूत ु

1. मह कक ठेकेदाय, केन् र को उनके द्िाया त नात व् मन्क्तमों से होनेिारी हय टकाय की ऺनतऩनूत म टदान कयेगा महद ठेकेदाय द्िाया त नात कोई बी व् मन्क्त ककसी बी टकाय के षििाद भें आने ऩय, मह ठेकेदाय की न् जम्प भेदायी होगी कक िे उसे सरुझाएं महद केन् र को उक् त षििाद का एक ऩऺ फनामा जाता ह औय उसे भाभरे का साभना कयना ऩड़ ेतो ठेकेदाय को केन् र द्िाया व् मनमत ऩयाभिम ि‍ु कों के िास् तषिक ेचयों का बगुतान कयना होगा तथा भांगे जाने ऩय ठेकेदाय द्िाया उसे अधग्रभ प ऩ से टदान कयना होगा आग,े ठेकेदाय मह सनुनन्श्चत कयेंगे कक केन् र को ककसी बी टकाय का षित् तीम दानमत् ति न हो औय इस सदंबम भें केन् र को इन भाभरों भें िाशभर नहीं कयेंगे

2. आगे मह बी कक ठेकेदाय, केन् र भें सऩंन्त्त एि ंऩरयसऩंन्त्तमों को ऩहुाँचनेिारी हानन की ऺनतऩनूत म टदान कयेंगे केन् र, ठेकेदाय को बगुतान की जानेिारी यकभ स ेउक् त ककसी बी याशि को सभामोन्जत एि ंकभ कयने का अधधकाय येता ह E. ंथदंुड़/ देमता

C. CENTRES OBLIGATIONS

1. That in consideration of the services rendered by the Contractor as stated above, he

shall be paid a lump sum of Rs……………… monthly which includes Wage and Service charge.

Such payment shall be made by the 10th day of the month on the basis of the bills raised by the

Contractor and duly certified by the officer designated by Centre in this regard.

2. That the aforesaid lump sum amount has been agreed to be paid by Centre to the

Contractor.

3. That payment on account of enhancement/escalation charges on account of revision in

wages by the appropriate Govt. (Govt. of India) from time to time shall be payable by the CSIR to

the Contractor.

4. That the Centre shall reimburse the amount of service tax, if any, paid by the Contractor

to the authorities on account of the services rendered by him. This reimbursement shall be

admissible on production of proof of deposit of the same by the Contractor. The payment of bonus

shall be made as per Payment of Bonus Act in the presence of authorized representative of CLRI.

The amount will be reimbursed on the production of acquittance duly certified by the SIC, RCED-

CLRI, Jalandhar.

D. INDEMNIFICATION

1. That the Contractor shall keep the Centre indemnified against all claims whatsoever in

respect of the employees deployed by the Contractor. In case any employee of the Contractor so

deployed enters in dispute of any nature whatsoever, it will be the primarily responsibility of the

Contractor to contest the same. In case Centre is made party and is supposed to contest the case,

the Centre will be reimbursed for the actual expenses incurred towards Counsel fee and other

expenses which shall be paid in advance by the Contractor to Centre on demand. Further, the

Contractor shall ensure that no financial or any other liability comes on Centre in this respect of

any nature whatsoever and shall keep Centre indemnified in this respect.

2. The Contractor shall further keep the Centre indemnified against any loss to the Centre

property and assets. The Centre shall have further right to adjust and/or deduct any of the

amounts as aforesaid from the payments due to the Contractor under this contract.

E. PENALITIES / LIABILITES

1. That the Contractor shall be responsible for faithful compliance of the terms and

conditions of this agreement. In the event of any breach of the agreement, the same may be

terminated and the security deposit will be forfeited and further the work may be got gone done

from another agency at their risk and cost.

i) ठेकेदाय द्िाया कयाय के ककसी बी ितम एि ंटनतफधंों का उ‍ रघंन कयने ऩय

ii) ठेकेदाय द्िाया केन् र की शरखेत अनभुनत के बफना ठेके मा ठेके के ककसी बाग को ककसी उऩ-ठेकेदाय को आफहंटत कयने ऩय

(c) सऺभ न् मामारम द्िाया ठेकेदाय को हदिाशरमा घोषित ककए जाने ऩय

उक् त टत् माशित ऩरयन्स्थनत भें ठेके की सभान््त की अिधध के दौयान ठेकेदाय, सचूना अिधध के सभा् त होने तक अऩना कामम जायी य ेेंगे

मह ठेकेदाय की न् जम्प भेदायी होगी कक ठेके सभा् त होने ऩय ककसी बी आधाय ऩय त नात सबी व् मन्क्तमों को ननकार देंगे तथा मह सनुनधचश् त कयेंगे कक उनके द्िाया त नात कोई बी व् मन्क्त केन् र भें ककसी बी तयह से कामम भें बगं/ फाधा/ सभस् मा ऩ दा नहीं कयेंगे G षििाचन

1. कयाय के अतंगमत मा सफंधंधत षििाद (कयाय के अतंगमत षिििे प ऩ स ेउन्‍रखेत ितयों से सफंधंधत ननणममों को छोड़कय) के टश् नों के भाभरों ऩय ननणमम के शरए भहाननदेिक, सीएसआईआय को षििाचन के शरए मा उनके द्िाया नाभांककत व् मन्क्त के ऩास बजेा जाएगा

2. That if the Contractor violates any of the terms and conditions of this agreement or commits any

fault or their services are not to the entire satisfaction of officer authorized by the Scientist-in-

Charge of the Lab in this behalf, a penalty leading to a deduction up to a maximum of 10% of the

total amount of bill for a particular month will be imposed.

F. COMMENCEMENT AND TERMINATION

1. That this agreement shall come into force w.e.f. ……………. and shall remain in force

for a period of ONE YEAR. This agreement may be extended on such terms and conditions as are

mutually agreed upon.

2. That this agreement may be terminated on any of the following contingencies:

a) On the expiry of the contract period as stated above

b) By giving one month’s notice by Centre on account of

i) for committing breach by the Contractor of any terms and conditions of this

agreement

ii) On assigning the contract or any part thereof to any sub-contractor by the

Contractor without written permission of the Centre.

c) On Contractor being declared insolvent by competent Court of Law.

During the notice period for termination of the contract, in the situation contemplated

above, the Contractor shall keep on discharging his duties as before till the expiry of notice

period.

It shall be the duty of the Contractor to remove all the persons, deployed by him, on

termination of the contract, on any ground whatsoever and ensure that no person creates any

disruption/hindrance/problem of any nature for Centre.

G. ARBITRATION

1. In the event of any question, dispute/difference arising under the agreement or in

connection herewith (except as to matters the decision of which is specially provided under this

agreement) the same shall be referred to the sole arbitration to DG CSIR or his nominee.

2. The award of the arbitrator shall be final and binding on the parties. In the event of such

arbitrator to whom the matter is originally referred to being transferred or vacating his office or

resigning or refusing to work or neglecting his work or being unable to act for any reason

whatsoever, the Director-General, CSIR shall appoint another person to act as arbitrator in

place of the out-going arbitrator in accordance with the terms of this agreement and the

persons so appointed shall be entitled to proceed with the reference from the stage at which it

was left by his predecessor.

3. The expression Director-General, CSIR shall mean and include an acting/officiating

Director-General.

4. The Arbitrator may give interim award(s) and/or directions, as may be required.

5. Subject to the aforesaid provisions, the Arbitration & Concillation Act, 1996 and the rules

made hereunder and any modification thereof from time to time being in force shall be deemed

to apply to the arbitration proceedings under the clause.
